These Terms & Conditions ("Terms") govern access to and use of the website https://nexxora.co.in and all related services (collectively, the "Platform") operated by Krishna Prajapati, proprietor of Nexxora, a sole proprietorship having its principal place of business at Chembur, Mumbai, Maharashtra, India ("Nexxora", "we", "us", "our"). By accessing the Platform, creating an account, or enrolling in any cohort, you ("User", "Student", "you") agree to be bound by these Terms. If you do not agree, please do not use the Platform.

Eligibility

The Platform and its cohorts are intended for users who are 18 (eighteen) years of age or older. By using the Platform, you represent and confirm that you are at least 18 years old and legally competent to enter into a binding contract under the Indian Contract Act, 1872. Nexxora does not knowingly enrol or collect data from users under 18.

Description of services

Nexxora provides an online platform connecting Life Science students with experienced industry professionals through live, cohort-based mentorship, including but not limited to practical sessions, resume reviews, portfolio building, interview preparation, industry projects, and career guidance ("Services"). (a) Nexxora is not a degree-granting institution and does not offer any government-recognised degree, diploma, or accreditation. Any certificate of completion issued reflects participation and performance in a specific cohort only, and does not constitute a professional licence or government qualification. (b) Nexxora does not guarantee employment, internships, placements, income, or any specific career outcome. References to "career acceleration", mentorship, or industry exposure describe the nature of the Services and are not promises of a particular result. (c) Course content, cohort schedules, and mentor availability may change from time to time. Nexxora will make reasonable efforts to notify enrolled students of material changes.

User accounts

You must create an account with accurate, current, and complete information to enrol in a cohort. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. (a) You must notify Nexxora immediately at contact@nexxora.co.in of any unauthorised use of your account. (b) Nexxora reserves the right to suspend or terminate accounts that provide false information or violate these Terms.

Acceptable use

You agree not to: (i) use the Platform for any unlawful purpose; (ii) harass, discriminate against, or abuse other students, mentors, or staff; (iii) share your account or cohort access with any third party; (iv) record, download, reproduce, or redistribute session recordings or course materials without Nexxora's prior written consent; or (v) attempt to scrape, reverse-engineer, or interfere with the Platform's normal operation. (a) Violation of this Clause may result in suspension or termination of access without refund, at Nexxora's discretion.

Payments, pricing and taxes

All fees for cohorts are listed in Indian Rupees (INR) on the Platform at the time of enrolment. Payments are processed through Nexxora's designated payment gateway partner. (a) By making a payment, you authorise Nexxora (or its payment gateway partner) to charge the selected payment method for the applicable cohort fee. (b) Nexxora is not currently registered under the Goods and Services Tax (GST); accordingly, prices displayed do not include GST as of the date of these Terms. Should Nexxora obtain GST registration, applicable GST shall be charged in addition to the listed fee for enrolments made thereafter, and this Clause shall be updated accordingly. (c) Any discounts, scholarships, or promotional pricing are offered at Nexxora's sole discretion and subject to the specific terms communicated at the time of the offer.

Refunds and cancellations

Requests for cancellation and refund must be submitted in writing to contact@nexxora.co.in within 72 (seventy-two) hours of the enrolment payment being made, and before the cohort's second live session. (a) No refund shall be provided once a student has accessed any recorded content, downloaded any course material, or attended two or more live sessions of the cohort, except where Clause 6(c) applies. (b) Refunds, where approved, shall be processed to the original payment method used, in accordance with applicable RBI and payment gateway guidelines, and shall ordinarily be initiated within 7 (seven) business days of approval. Any payment gateway or transaction charges actually incurred by Nexxora may be deducted from the refunded amount. (c) If Nexxora cancels or indefinitely postpones a cohort before its scheduled completion, enrolled students shall be entitled to a full refund of fees paid for that cohort, or, at the student's option, a credit towards a future cohort. (d) Nexxora reserves the right to withhold a refund, in whole or in part, where a student is found to have violated Clause 4 (Acceptable Use) or the Code of Conduct.

Intellectual property

All content on the Platform, including course materials, session recordings, curriculum, videos, text, graphics, logos, and the "Nexxora" name and branding, is the property of Nexxora or its mentors/licensors and is protected under the Copyright Act, 1957 and applicable trademark law. (a) Nexxora grants you a limited, non-exclusive, non-transferable, revocable licence to access and view course content solely for your personal, non-commercial learning during your enrolment period. (b) You may not copy, reproduce, distribute, publicly display, or create derivative works from any Platform content without Nexxora's prior written consent.

User-generated content

If you submit reviews, testimonials, forum posts, or other content to the Platform ("User Content"), you grant Nexxora a non-exclusive, royalty-free, worldwide licence to use, reproduce, and display such User Content for platform operation, marketing, and promotional purposes, unless you notify us otherwise in writing.

Limitation of liability

To the maximum extent permitted by applicable law, Nexxora shall not be liable for any indirect, incidental, special, or consequential damages, including loss of income, employment opportunity, or business, arising out of or in connection with your use of the Platform. (a) Nexxora's total aggregate liability arising out of or relating to these Terms or the Services shall not exceed the total amount actually paid by you for the specific cohort giving rise to the claim.

Indemnification

You agree to indemnify and hold Nexxora, its proprietor, mentors, and staff harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your breach of these Terms or misuse of the Platform.

Privacy

Your personal data is collected and processed in accordance with Nexxora's Privacy Policy, which is incorporated by reference into these Terms and complies with the Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023.

Suspension and termination

Nexxora may suspend or terminate your access to the Platform, with or without notice, if you breach these Terms, engage in fraudulent activity, or misuse the Services. You may stop using the Platform at any time; however, no refund shall be due except as provided under Clause 6.

Governing law and dispute resolution

These Terms shall be governed by and construed in accordance with the laws of India. (a) Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved amicably. Failing amicable resolution within 30 (thirty) days, the dispute shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator, with the seat and venue of arbitration at Mumbai, Maharashtra, in the English language. (b) Subject to the above, the courts at Mumbai, Maharashtra shall have exclusive jurisdiction.

Modifications to terms

Nexxora may update these Terms from time to time. Material changes will be notified via the Platform or by email. Continued use of the Platform after such changes constitutes acceptance of the updated Terms.
